Decision-making under Certainty

A condition of certainty exists when the decision-maker knows with reasonable certainty what the alternatives are, what conditions are associated with each alternative, and the outcome of each alternative. Under conditions of certainty, accurate, measurable, and reliable information on which to base decisions is available.

The cause and effect relationships are known and the future is highly predictable under conditions of certainty. Such conditions exist in case of routine and repetitive decisions concerning the day-to-day operations of the business.

Decision-making under Risk

When a manager lacks perfect information or whenever an information asymmetry exists, risk arises. Under a state of risk, the decision maker has incomplete information about available alternatives but has a good idea of the probability of outcomes for each alternative.

While making decisions under a state of risk, managers must determine the probability associated with each alternative on the basis of the available information and his experience.

Decision-making under Uncertainty

Most significant decisions made in today’s complex environment are formulated under a state of uncertainty. Conditions of uncertainty exist when the future environment is unpredictable and everything is in a state of flux. The decision-maker is not aware of all available alternatives, the risks associated with each, and the consequences of each alternative or their probabilities.

The manager does not possess complete information about the alternatives and whatever information is available, may not be completely reliable. In the face of such uncertainty, managers need to make certain assumptions about the situation in order to provide a reasonable framework for decision-making. They have to depend upon their judgment and experience for making decisions.

Modern Approaches to Decision-making under Uncertainty

There are several modern techniques to improve the quality of decision-making under conditions of uncertainty.

The most important among these are:

  • Risk analysis
  • Decision trees
  • Preference theory

Risk Analysis

Managers who follow this approach analyze the size and nature of the risk involved in choosing a particular course of action.

For instance, while launching a new product, a manager has to carefully analyze each of the following variables the cost of launching the product, its production cost, the capital investment required, the price that can be set for the product, the potential market size and what percent of the total market it will represent.

Risk analysis involves quantitative and qualitative risk assessment, risk management and risk communication and provides managers with a better understanding of the risk and the benefits associated with a proposed course of action. The decision represents a trade-off between the risks and the benefits associated with a particular course of action under conditions of uncertainty.

Decision Trees

These are considered to be one of the best ways to analyze a decision. A decision-tree approach involves a graphic representation of alternative courses of action and the possible outcomes and risks associated with each action.

By means of a “tree” diagram depicting the decision points, chance events and probabilities involved in various courses of action, this technique of decision-making allows the decision-maker to trace the optimum path or course of action.

Preference or Utility Theory

This is another approach to decision-making under conditions of uncertainty. This approach is based on the notion that individual attitudes towards risk vary. Some individuals are willing to take only smaller risks (“risk averters”), while others are willing to take greater risks (“gamblers”). Statistical probabilities associated with the various courses of action are based on the assumption that decision-makers will follow them.

3For instance, if there were a 60 percent chance of a decision being right, it might seem reasonable that a person would take the risk. This may not be necessarily true as the individual might not wish to take the risk, since the chances of the decision being wrong are 40 percent. The attitudes towards risk vary with events, with people and positions.

Top-level managers usually take the largest amount of risk. However, the same managers who make a decision that risks millions of rupees of the company in a given program with a 75 percent chance of success are not likely to do the same with their own money.

Moreover, a manager willing to take a 75 percent risk in one situation may not be willing to do so in another. Similarly, a top executive might launch an advertising campaign having a 70 percent chance of success but might decide against investing in plant and machinery unless it involves a higher probability of success.

Though personal attitudes towards risk vary, two things are certain.

Firstly, attitudes towards risk vary with situations, i.e. some people are risk averters in some situations and gamblers in others.

Secondly, some people have a high aversion to risk, while others have a low aversion.

Most managers prefer to be risk averters to a certain extent, and may thus also forego opportunities. When the stakes are high, most managers tend to be risk averters; when the stakes are small, they tend to be gamblers.

Provisions of Ind AS-7 (old AS 3)

Foreign currency cash flows:

  • Record cash flows (those cash flows which arise from transactions in foreign currency) in functional currency.
  • Cash flows of a foreign subsidiary shall be translated at the exchange rates between functional currency and foreign currency.
  • Exchange rate at the date of cash flows shall be applied. Ind AS 21 permits the use of exchange rate that approximates the actual rate.
  • Unrealized gains and losses arising from changes in foreign currency exchange rates are not cash flows. However, the effect of exchange rate changes on cash and cash equivalents is reported in the statement of cash flows in order to reconcile cash and cash equivalents at the beginning and the end of the period. This amount is presented separately from cash flows from operating, investing and financing activities.

Change in ownership (no such concept under AS 3):

  1. Cash flows from obtaining / losing control in businesses (including subsidiary) shall be presented separately and classified as Investing activity and disclose the following:
  • Total amount of consideration
  • Portion of consideration consisting of cash and cash equivalents
  • Amount of cash and cash equivalent over which control is obtained / lost
  • Assets and liabilities (other than cash and cash equivalent) over which control is obtained / lost summarised in each major category.

2. Cash flow effects of losing control are not deducted from those of obtaining control.
3. Cash paid / received as consideration is reported net of cash and cash equivalents acquired / disposed on account of such transaction.
4. Cash flows arising from changes in ownership in subsidiary that do not result in a loss of control shall be classified as cash flows from financing activities, unless subsidiary is held by investment entity.

Non-cash Transactions:

Many investing and financing activities do not impact cash flows although they do affect the capital and asset structure of an entity. These shall be excluded from the statement of cash flows. Examples:

  • Acquisition of assets by means of a finance lease;
  • Conversion of debt to equity.
  • Issue of bonus shares
  • Conversion of term loan into equity shares

Such transactions shall be disclosed in the financial statements indicating investing / financing activity.

Changes in liabilities arising from financing activities (It was an amendment in Ind AS 7 and this provision was not there in AS 3):
• An entity shall provide the following disclosures to evaluate changes in liabilities arising from financing activities including both changes arising from cash flows and non-cash changes:
o changes from financing cash flows
o changes arising from obtaining or losing control of subsidiaries or other businesses;
o the effect of changes in foreign exchange rates;
o changes in fair values; and
o other changes.
• It also applies to changes in financial assets (for example, assets that hedge liabilities arising from financing activities) if cash flows from those financial assets included in cash flows from financing activities.
• Disclosure requirement can be fulfilled by: Reconciliation between the opening and closing balances in the balance sheet for liabilities arising from financing activities.
• If an entity discloses the same with disclosures of changes in other assets and liabilities, it shall disclose financing activities separately.
Disclosures:
• Components of cash and cash equivalents and reconciliation with amount appearing in balance sheet
• Policy adopted in determining composition of cash and cash equivalents
• Significant cash and cash equivalent that are not available for use by the entity (with commentary by management).
Examples: balance in unpaid dividend account, bank balance subject to legal restrictions, earmarked balances, bank balance for share application money / pending allotment of shares.
• Additional information (optional but standard encouraged the following disclosure):
o amount of undrawn borrowing facilities (indicating any restrictions on use)
o cash flows representing increases in operating capacity separately from cash flows required to maintain operating capacity;
o cash flows from operating, investing and financing activities of each reportable segment (same is required by Ind AS 108).

Types of pollution in Environment protection act 1986

Environment Protection Act, 1986, does not explicitly categorize pollution types within its text. However, it empowers the central government to take all necessary measures to prevent and control pollution and to establish quality standards for the environment, which implicitly covers various types of pollution. Based on the provisions of the Act and the general understanding of environmental pollution, the following types of pollution can be addressed under its framework:

Types:

  1. Air Pollution

This refers to the contamination of the atmospheric air due to the presence of harmful substances, including gases (like SO2, NOx, CO2, CO), particulates, and biological molecules, which pose health risks to humans, animals, and plants, and damage the environment. The Act allows for the regulation of industrial emissions and vehicular exhaust to control air quality.

  1. Water Pollution

Water pollution occurs when harmful substances—chemicals, waste, or microorganisms—contaminate water bodies, affecting water quality and making it toxic to humans and the environment. The Act encompasses the control and prevention of discharge of pollutants into water bodies, setting standards for the discharge of effluents and the treatment of sewage and industrial waste.

  1. Soil Pollution

Soil or land pollution is the degradation of the Earth’s land surfaces, often caused by human activities and their misuse of land resources. It results from the disposal of solid and hazardous waste, agricultural chemicals, and industrial activities. The Act includes measures to manage waste, control the use of hazardous substances, and remediate contaminated sites.

  1. Noise Pollution

Noise pollution involves exposure to high levels of sound that may harm human health or comfort, wildlife, and the environment. While not explicitly mentioned, the Act’s provisions for controlling environmental pollution implicitly empower the government to take measures against noise pollution through various rules and regulations enacted under its authority.

  1. Hazardous Waste Pollution

This type of pollution concerns the management, handling, and disposal of hazardous wastes—wastes that are dangerous or potentially harmful to human health or the environment. The Act specifically addresses the handling and management of hazardous substances and includes provisions for the safe disposal of hazardous waste to minimize its impact on the environment.

  1. Radioactive Pollution

Radioactive pollution results from the release of radioactive substances or radiations (like alpha, beta, gamma rays) into the environment, primarily from nuclear power plants, nuclear tests, and improper disposal of radioactive waste. The Act, through its provision on the control of hazardous substances, encompasses the regulation and management of radioactive waste and materials.

Consequences of Different Pollution:

Air Pollution:

  • Health Effects:

Air pollution is a leading environmental threat to human health. Exposure to polluted air can lead to respiratory infections, heart disease, stroke, lung cancer, and chronic respiratory diseases like asthma. Particulate matter, nitrogen dioxide, sulfur dioxide, and ozone are particularly harmful.

  • Environmental Damage:

Air pollutants can harm wildlife, damage forests, and affect bodies of water. Acid rain, resulting from sulfur dioxide and nitrogen oxides mixing with rainwater, can harm aquatic life in rivers and lakes, damage trees, and degrade the soil.

  • Climate Change:

Certain air pollutants, especially greenhouse gases like carbon dioxide and methane, contribute to global warming by trapping heat in the earth’s atmosphere. This leads to climate change, which can cause extreme weather conditions, rising sea levels, and disruption of natural ecosystems.

Water Pollution:

  • Health Risks:

Contaminated water can lead to various health problems, including diarrhea, cholera, dysentery, typhoid, and polio. Heavy metals and chemical pollutants can also cause long-term health issues, including cancer and neurological disorders.

  • Ecosystems Disruption:

Water pollution affects aquatic ecosystems, leading to the death of fish and other aquatic organisms, reducing biodiversity, and disrupting the balance of aquatic ecosystems. It can also lead to eutrophication, where excess nutrients cause an overgrowth of algae that depletes oxygen in the water, harming aquatic life.

  • Economic Impacts:

Polluted water affects agriculture by contaminating irrigation water, affects fisheries by reducing fish populations, and impacts tourism and recreation in polluted areas.

Soil Pollution:

  • Reduced Soil Fertility:

Contaminated soil can lose its fertility, reducing its productivity for agriculture and affecting food security.

  • Health Impacts via Food Chain:

Pollutants in the soil can enter the human body through the food chain, leading to health issues, including cancers, birth defects, and other illnesses.

  • Environmental Harm:

Soil pollution can lead to the loss of habitats, as contaminated areas become unsuitable for plants and wildlife. It also contributes to water pollution as pollutants leach into groundwater and surface water.

Noise Pollution:

  • Hearing Loss:

Prolonged exposure to high levels of noise can result in temporary or permanent hearing loss.

  • Psychological and Physical Stress:

Noise pollution can cause stress, anxiety, sleep disturbances, and high blood pressure, affecting overall well-being.

  • Wildlife Impact:

Excessive noise can disrupt the behavior and habitats of wildlife, affecting reproduction, communication, and feeding patterns.

Light Pollution:

  • Effects on Humans:

Light pollution can disrupt human circadian rhythms, affecting sleep quality and overall health.

  • Wildlife Disruption:

It can confuse animal navigation, alter competitive interactions, change predator-prey relations, and cause physiological harm.

Framework for Controlling Pollution under Environment Protection Act 1986:

  1. Empowerment of the Central Government
  • Regulatory Powers:

The Act grants the central government the authority to regulate industrial and other activities that could lead to environmental degradation. This includes the power to lay down standards for the quality of the environment in its various aspects (air, water, soil) and control the emission and discharge of pollutants.

  • Restriction on Hazardous Substances:

It allows the government to prohibit or restrict the handling of hazardous substances in certain areas to prevent environmental damage.

Rights and Duties of Buyer

The buyer in a contract of sale has both rights and duties governed by the Sale of Goods Act, 1930. These ensure fairness in commercial transactions and balance responsibilities between buyer and seller.

Rights of the Buyer:

  • Right to Delivery of Goods (Section 31)

The buyer has the right to receive delivery of goods as per the terms of the contract. If the seller fails to deliver within the stipulated time or condition, the buyer may refuse delivery, cancel the contract, or claim damages. This ensures protection against non-performance by the seller.

  • Right to Reject Goods (Section 37 & 41)

  • Duty Not to Reject After Acceptance (Section 42)

Once the buyer has accepted the goods, they cannot later reject them unless fraud or breach is discovered. Acceptance may be implied if the buyer uses or resells the goods. This duty prevents unfair reversal of contracts after partial or full performance by the seller.

Demat System, Features, Process, Advantages and Disadvantages

Demat System (short for Dematerialization system) refers to the process of converting physical share certificates into electronic form, enabling investors to hold and trade shares digitally through a dematerialized account. Introduced in India in 1996, the dematerialization process revolutionized the stock market by eliminating the need for physical certificates, streamlining the trading process, and making securities transactions safer, faster, and more efficient. The demat system is managed by depositories such as the National Securities Depository Limited (NSDL) and Central Depository Services Limited (CDSL), which function under the regulation of the Securities and Exchange Board of India (SEBI).

Key Features of the Demat System

  • Electronic Form of Securities:

In the demat system, shares, bonds, debentures, and other securities are held in electronic form, eliminating the need for physical certificates. This offers ease of access and ensures that investors can quickly buy, sell, and transfer securities.

  • Demat Account:

Similar to a bank account for money, a demat account is an electronic account where securities are stored. Each investor must open a demat account with a Depository Participant (DP), such as a bank, brokerage firm, or financial institution. The DP acts as an intermediary between the investor and the depository (NSDL or CDSL).

  • Speed and Efficiency:

Dematerialization process allows for faster trading and settlement of securities. Before dematerialization, the physical transfer of shares took weeks or even months, involving paperwork and delays. Now, transactions are completed in a few days, with real-time updates.

  • Safety and Security:

Holding securities in dematerialized form reduces the risk of theft, loss, forgery, and damage associated with physical certificates. The electronic form ensures greater transparency, and investors can track their holdings online through their demat account.

  • No Stamp Duty:

No stamp duty is charged on the transfer of dematerialized securities, reducing transaction costs for investors.

  • Nomination Facility:

Investors can assign a nominee to their demat account, ensuring that in the event of the account holder’s death, the securities are smoothly transferred to the designated individual.

  • Multiple Securities in One Account:

In a demat account, an investor can hold various types of securities, such as shares, bonds, mutual funds, and government securities, in a single account, which offers greater convenience.

Process of Dematerialization:

Dematerialization is the process of converting physical share certificates into electronic form.

  1. Opening a Demat Account:

An investor must first open a demat account with a Depository Participant (DP) by filling out an account opening form and submitting the required Know Your Customer (KYC) documents such as proof of identity, proof of address, and a PAN card.

DP provides the investor with a unique Beneficiary Owner Identification (BO ID) number, which is used to identify the account holder in all transactions.

  1. Submission of Physical Certificates:

    • After opening a demat account, the investor submits the physical share certificates they wish to dematerialize to the DP along with a Dematerialization Request Form (DRF).

In the pre-demat era, transferring shares involved a lengthy process of physical delivery, verification, and approval, taking several weeks. Now, trades are settled electronically within two days (T+2 settlement), ensuring faster and more efficient transactions.

  • Lower Transaction Costs:

By eliminating physical transfers, the demat system reduces costs associated with paperwork, stamp duties, courier charges, and handling fees. Investors benefit from lower transaction costs, making trading more cost-effective.

  • Enhanced Liquidity:

Disadvantages of the Demat System:

  • Technological Dependency:

They empower the directors to appoint one of their own number as chairman and to determine the period for which he is to hold office. If no chairman is elected, or the elected chairman is not present within five minutes of the time fixed for the meeting or is unwilling to preside, those directors in attendance may usually elect one of their number as chairman of the meeting.

The chairman will usually have a second or casting vote in the case of equality of votes. Unless the articles confer such a vote upon him, however, a chairman has no casting vote merely by virtue of his office.

Since the chairman’s position is of great importance, it is vital that his election is clearly in accordance with any special procedure laid down by the articles and that it is unambiguously minuted; this is especially important to avoid disputes as to his period in office. Usually there is no special procedure for resignation. As for removal, articles usually empower the board to remove the chairman from office at any time. Proper and clear minutes are important in order to avoid disputes.

Role of the chairman

The chairman’s role includes managing the board’s business and acting as its facilitator and guide. This can include:

  • Determining board composition and organisation;
  • Clarifying board and management responsibilities;
  • Planning and managing board and board committee meetings;
  • Developing the effectiveness of the board.

Shadow directors

In many circumstances, the law applies not only to a director, but to a ‘shadow director’. A shadow director is a person in accordance with whose directions or instructions the directors of a company are accustomed to act. Under this definition, it is possible that a director, or the whole board, of a holding company, and the holding company itself, could be treated as a shadow director of a subsidiary.

Professional advisers giving advice in their professional capacity are specifically excluded from the definition of a shadow director in the companies legislation.
